Pennsylvania Soccer Coaches Association
Charter/Constitution and Bylaws

Organized May 13, 1972

Article 1: Name
The name of this organization shall be known as the Pennsylvania Soccer Coaches Association. (PSCA)

Article 2: Purpose
The Pennsylvania Soccer Coaches Association shall coordinate the activities and interests of male and female scholastic soccer in the State of Pennsylvania from the coaches’ perspective.

Article 3: Membership


Section 1
Membership shall be open to all male and female high school coaches, assistant coaches and to others having an interest in and desire to support the purposes of the Association.

Section 2
The Executive Board shall have the right of approval/disapproval of any applicant for membership and may, by majority vote, elect to suspend or expel any member of the Association for cause shown, including non-payment of dues, or in the interests of the Association.

Article 4: Meetings


Section 1
There shall be a general membership meeting each year, a business meeting each year, at least one Executive Board meeting during the calendar year and such other meeting as may be called from time to time by the President and/or by a majority of the Executive Board.

Section 2
The general membership meeting will take place at the USC Convention, the annual business meeting shall take place in conjunction with the All-State banquet. An Executive Board meeting shall also take place during the summer of each calendar year. Committee Chairs may also attend this meeting.

1. A quorum for the general membership meeting, shall be the number present.

2. A quorum for the annual business meeting and executive board meeting shall be five (5) members present.

 

Article 5:  Affiliation


The Association shall be affiliated with all other soccer interests in the state and specifically with the United Soccer Coaches.

 

Article 6:  Officers and Elections
 

Section 1:  Officers
The offices of the Association shall be President, 1st Vice President, 2nd Vice President, Treasurer, Recording Secretary, Membership Secretary, and Executive Secretary. No one person may hold more than one of these offices at any given time.

 

Section 2: Terms of Office
The offices of President, First Vice President and Second Vice President shall serve a term of three years. The offices of Treasurer, Recording Secretary, Membership Secretary, and  Executive Secretary shall be an unlimited term.

 

Section 3: Election of Officers
The officers of the Association shall be elected by a majority vote of the members present at the annual business meeting.

Section 4: Office Vacancies
Office vacancies shall be filled by the President, with the majority approval of the Executive Board, until the
next election at the annual business meeting.

Section 5: Termination of Office
1. Consistent failure to perform one’s assigned responsibilities or other cause may result in the
impeachment of that officer.

2. Removal from office would require a two-thirds affirmative vote from the Executive Board.

Section 6:  Executive Board
The Executive Board shall consist of the President, First Vice President, Second Vice President, Executive Secretary, Recording Secretary, Treasurer and Membership Secretary.

Article 7:   All-State Team

The Association shall choose annually in November, a Pennsylvania Secondary School All-State Soccer Team. A player shall be eligible for the All-State Team according to league voting and PSCA guidelines.

Article 8:  USC Regional Team

The names of the top secondary school players in the state, according to PSCA guidelines, shall be forwarded to the USC Regional Chairman for inclusion on the USC Regional All-American Soccer Team and possible inclusion on the USC All-American Team.

Article 9:  Dissolution

In case of dissolution of the Pennsylvania Soccer Coaches Association, organized May 13, 1972, all funds held by the Association shall be divided equally between the Eastern Pennsylvania Youth Soccer Association (EPYSA) and PA West Soccer Association.

Article 10: Amendment

This charter/constitution may be amended by the members at the annual business meeting by a two-thirds affirmative vote in favor of the amendment by those present and voting at such meeting, providing that the members of the Executive Board have been given notice of the proposed amendment at least 30 days prior to said meeting.

 

BY-LAWS

 

Article 1:  Officers Duties

 

Section 1:  President
The responsibilities of the President include, but not limited to;

  1. Preside over all PSCA meetings.

  2. Member of all PSCA committees.

  3. Produce an agenda for all PSCA meetings.

  4. Provide oversite for PSCA committees.

  5. Enact appropriate executive actions.

  6. Facilitate communication within the association and it’s officers, committees, league reps and general membership

 

Section 2:  First Vice-President
The responsibilities of the First Vice-President include, but not limited to;

  1. Perform the duties of the President if needed.

  2. Attend all PSCA meetings.

  3. Member of banquet committee.

  4. After serving as First Vice-President for a three year term, shall assume the position of President.

 

Section 3 : Second Vice-President
The responsibilities of the Second Vice-President include, but not limited to;

  1. Attend all PSCA meetings.

  2. Perform the duties of the First Vice-President or President if needed.

  3. After serving as Second Vice-President for a three year term, the Second Vice-President shall assume the position of First Vice-President.

 

Section 4:  Treasurer
           The responsibilities of the Treasurer include, but not limited to;

  1. Maintain PSCA checking account.

  2. Deposit all monies on behalf of the PSCA.

  3. Disbursement of money on behalf of the PSCA.

  4. Produce a financial report for the PSCA General Membership and business meetings.

  5. Produce a budget for approval at the General Membership and business meetings.

  6. Handle all other accounting procedures as deemed necessary by the PSCA.

  7. Chairman of the Banquet Committee.

  8. Attend all PSCA meetings.

 

Section 5: Recording Secretary
The responsibilities of the Recording Secretary include, but not limited to;

  1. Attend and record minutes from all PSCA meetings.

  2. Produce a copy of all minutes for distribution.

  3. Keep an official copy of all minutes.

 

Section 6: Membership Secretary
           The responsibilities of the Membership Secretary include, but not limited to;

  1. Compile all membership applications and dues.

  2. Forward all dues and monies to the PSCA Treasurer.

  3. Maintain member database.

  4. Ensure that league dues and paid head coaches align with the number of all-state players allotted for each league.

Section 6: Executive Secretary
           The responsibilities of the Executive Secretary include, but not limited to;

  1. Maintain the PSCA year round calendar of events.

  2. Notices of the General Membership meeting as well as any other meetings throughout the year.

  3. Any other postings or emails deemed appropriate by the President and/or the Association.

  4. Attend all meetings and submit reports concerning areas of responsibilities at the President’s request.

  5. Maintain direct contact with the President on all relevant Association matters.

  6. The Executive Secretary shall receive a stipend to be paid once a year. The amount of this stipend shall be a figure negotiated at the request of the President, with the majority approval of the Executive Board.

  7. In the absence of the Treasurer, the Executive Secretary would assume the duties of the Treasurer.

 

Section 7: League Representatives

  1. Each secondary school league in the state and a single representative from the independent secondary schools in the state shall elect a representative to the state Association.

  2. Each representative shall make an effort to attend the annual Membership and business meetings.

  3. Each representative shall compile all league standings and statistics and forward to the PSCA Statistition (on-line) immediately at the conclusion of each playing season.

  4. Each representative shall collect all Association dues and forward same by a specific date (November 1st) to the Executive Secretary.

  5. Each representative is responsible for disseminating information as is deemed necessary by the Association.

  6. Each representative shall forward required information regarding All-State selection to the All-State Chairman (online) by the November 1st deadline.

 

Section 8: Committees

  1. All committees shall be appointed by the President, subject to approval by the Executive Board.

  2. Committee chairpersons are a permanent appointment by the President and may be vacated by resignation or by action taken by the President with the approval of a majority of the Executive Board.

 

Section 9: Financing

  1. The President is authorized to collect dues from each member. These dues will be collected annually. The date of collection and the amount will be set as necessary by the Executive Board and approved by a majority vote.

  2. The fiscal year for the PSCA shall be from January 1 to December 31 of each year.

 

Section 10:  Rules of Order

  1. Anything not covered by this Charter/Constitution and By-Laws will be followed according to Roberts Rules of Order.

 

Section 11: Amendment

  1. These By-Laws may be amended by the members at the annual  business meeting by a majority vote in favor of the amendment by those present and voting at such meeting, providing that the members of the Executive Board have been given notice of the proposed amendment at least 30 days prior to said meeting.
